Contracts
When you make agreements with business partners or other parties, it is important that the agreements are documented in legally binding contracts. In this way all parties will be clear about the terms of the cooperation. In matters of dispute concerning the cooperation, the contract will provide a basis for clearing up any misunderstandings. In the event that no agreement is reached, the contract can then be relied on in legal proceedings.
The sample contract that can be downloaded on this page are only examples of what contracts can look like.
We recommend that you consult a legal adviser to be certain that the contract is legally valid and provides your company the cover it wants.
Confidentiality Agreement
Before a contract can be enterered into, it will often be necessary to present the knowledge and knowhow one would like to buy, sell or license to a prospective partner for evaluation. If the knowledge and knowhow you are presenting is of such a nature that it must not be passed on to others, the solution could be to draw up a confidentiality agreement. This will ensure that the knowledge you impart will not be used or passed on to third parties.

Licensing agreements
A licensing agreement is typically used where two parties agree to the terms under which one party can use the knowledge of the other party; often upon payment of a one-off amount or ongoing royalties. For more factual information on licensing agreements, see FAQ. Below you can find an example of a licensing agreement, but you would be well advised to seek professional advice before you sign a licensing agreement
